Med Ed Tracker — Terms of Service

Welcome to Med Ed Tracker ("Company," "we," "our," or "us"). By accessing or using our website, platform, or services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Services.

1. Eligibility and Intended Use

The Services are intended solely for users located in the United States. By using the Services, you represent and warrant that you are accessing them from within the United States. The Services are not intended for use in other jurisdictions, and we make no representations that they comply with the laws of any other country. You must be at least 18 years old and legally able to enter into these Terms to use the Services. By using the Services, you represent and warrant that you meet these requirements.

2. No Legal, Medical, or Compliance Advice

The Services are provided for informational and tracking purposes only. We do not provide legal advice, medical advice, or compliance guarantees. You remain solely responsible for ensuring that you meet all continuing medical education (CME) requirements, deadlines, and any other professional obligations.

3. User Responsibilities

  • You are solely responsible for entering accurate, up-to-date information.
  • You are solely responsible for verifying your CME credits, compliance status, and license requirements with the relevant licensing or regulatory authority.
  • You agree not to rely exclusively on the Services for meeting your compliance obligations.

4. Disclaimers

The Services are provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, including but not limited to warranties of accuracy, reliability, fitness for a particular purpose, merchantability, or non-infringement.

We do not warrant that:

  • The Services will always be accurate, complete, or up-to-date;
  • The Services will be error-free, uninterrupted, or secure;
  • Notifications, reminders, or alerts will always be sent, timely, or received.

5. Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to lost income, lost business, lost license, regulatory penalties, or reputational damage, arising from or related to your use of the Services.
  • You assume all risk and liability for your use of the Services and any decisions made based on them.
  • If we are found liable despite the above, our total liability will not exceed the greater of (a) $50 USD or (b) the amount you paid us in the 12 months before the claim arose.

6. Indemnification

You agree to defend, indemnify, and hold harmless the Company, its officers, employees, contractors, and affiliates from and against any claims, damages, losses, liabilities, costs, or expenses (including attorneys' fees) arising out of or related to:

  • Your use of the Services;
  • Your reliance on any information provided by the Services;
  • Your failure to comply with applicable CME, licensing, or professional requirements.

7. Modifications to Services

We may change, suspend, or discontinue the Services at any time without notice or liability.

8. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, without liability.

9. Governing Law and Jurisdiction

These Terms shall be governed by and construed under the laws of the State of Missouri, without regard to its conflict of law principles.

You agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in St. Charles County, Missouri, and you hereby consent to the personal jurisdiction and venue of such courts.

10. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable for any reason, the remaining provisions shall remain in full force and effect.

11. Entire Agreement

These Terms constitute the entire agreement between you and the Company regarding your use of the Services and supersede any prior agreements, whether oral or written.
